In recent years, effective corporate governance is the prerequisite for the stable development of financial industry. Although the corporate governance of China's commercial banks has made some progress, but "similar in shape but not in spirit" is a common problem in corporate governance of commercial banks in China, and there are still many problems in corporate governance of commercial banks. For example, the change of the ownership structure of commercial banks, the lack of supervision system, the restriction of incentive mechanism and other aspects need to be improved. Taking the corporate governance of Bank of Lanzhou as an example, this paper analyzes the current situation of corporate governance of Lanzhou bank, points out the existing problems, and puts forward relevant suggestions.
