“双碳”目标下企业环境 民事合规制度的构建

• 摘要： 近年来，在大力推进生态文明建设的背景下，我国的生态环境状况得到了有效改善，但对于实现“双碳”目标还有一定差距。企业作为碳排放的重要主体，在环境合规方面存在民事合规制度不完善、执法监督机制不健全、企业自身合规观念不强等问题。对此，可从内外双重视角对企业提出完善路径：在外部层面利用法律的约束力以及行业自律、社会评价来对企业进行规制，在内部层面促进企业转变发展理念、产业绿色转型以及加强合规观念。构建我国企业环境民事合规制度，具体需从以下四个方面推进：一是完善法律体系；二是督促企业自身制订合规计划；三是加强对企业合规的监督审查；四是创新司法保障。
• In recent years, under the background of vigorously promotingthe construction of ecological civilization, our ecological and environmentalconditions have been effectively improved, but there is still a certain gap inachieving the goal of “dual carbon”. As an important main body of carbonemissions, enterprises have problems in environmental compliance, such asimperfect civil compliance system, unsound law enforcement and supervisionmechanism, and weak compliance concept of enterprises themselves. In thisregard, we can propose a path of improvement for enterprises from bothinternal and external perspectives: to utilize the binding force of law, industryself-regulation and social evaluation to regulate enterprises at the external level,and to promote the change of development concepts, green transformation ofthe industry, and the strengthening of the concept of compliance at the internallevel. The construction of China’s corporate environmental civil compliancesystem should be promoted from the following four aspects: first, improvingthe legal system; second, urging enterprises to formulate their own complianceprograms; third, strengthening the supervision and review of corporatecompliance; and fourth, innovating judicial safeguards.
