- Abstract: 随着我国市场经济的不断完善，公司制的发展取得了很大的成绩，但 在我国现有法律体制下公司董事的商业决策权不能得到很好的制约与保护。本 文通过介绍公司制较发达的美国的董事商业决策权的相关内容来比对我国在这 方面的不足，借此探索有利于我国公司董事商业决策权制约与保护的出路和方 法。
- With the continuous improvement of China's market economy, great achievements have been made in the development of the corporate system. This paper introduces the contents of directors' commercial decision-making rights in the United States where the corporate system is more developed, and compares the deficiencies in this aspect in China, so as to explore ways and methods that are beneficial to the restriction and protection of directors' commercial decision-making rights in China.
