The joint-stock cooperative enterprise, as a unique economic entity, plays a significant role in the transition and development of the Chinese economy, possessing distinct legal status and operational models. However, due to the lack of a unified legal framework and internal governance structure, as well as issues surrounding unclear property rights delineation, joint-stock cooperative enterprises face numerous challenges. Therefore, researching the legal construction and developmental pathways of these enterprises holds significant importance. This paper, starting from the concept of “enterprise,” introduces a dual perspective from both legal and legal-economic angles, discussing the legal status and legislative needs of joint-stock cooperative enterprises within the Chinese legal system. Furthermore, it conducts indepth analyses on various issues such as internal governance, property rights delineation, and equity transfer, providing suggestions for legislation, system establishment, property allocation, and equity transfer concerning the development of joint-stock cooperative enterprises. The significance of this study lies in offering theoretical support and practical guidance for relevant policy-making, while also providing insights for future research and practice.
